1. Acceptance of the Terms & Conditions
Welcome to the automationsquare.com Service ("Service"). Your use of the Service is subject to these Terms & Conditions ("Terms") which supplement the Legal Declaration located at http://www.automationsquare.com/legal.html and the Privacy Statement located at http://www.automationsquare.com/privacy.html, incorporated by reference. Itris Automation Square ("IAS") reserves the right to update and change, from time to time, these Terms and all documents incorporated by reference. You can always find the most recent version of these Terms http://www.automationsquare.com/terms-and-conditions.html.In order to use the Services, you must firstly agree to the Terms. You may not use the Services if you do not accept the Terms.
2. Membership
Membership is available to you if you are at least 13 years of age and submit certain requested information to us, including your name, company and correct email address, as a part of the registration process for the Service. You agree that any registration information you give to IAS will always be accurate, correct and up to date.
3. Availability
IAS uses reasonable efforts to make the Service available 24 hours a day, 7 days a week. However, there will be occasions when the Service will be interrupted for maintenance, upgrades and repairs, or as a result of failure of telecommunications links and equipment that are beyond our control. We will take reasonable steps to minimize such disruption, to the extent it is within our reasonable control.
4. Your Content
The Service offers storage of files necessary to the use of IAS tools such as source code, hadware configuration files and export files of PLC programs, mapping files for PLC Converter, rule files for PLC Checker and results files from IAS tools ("Your Content"). The Service shall not be used to store any other kind of material than files needed to use IAS tools. There is no limit to the quantity and total size of files you may upload but such fixed upper limits may be set by IAS at any time, at IAS’s discretion. The size of a single file is limited to 20 megabytes. Once uploaded Your Content will be available for one (1) year. After that time, IAS reserves the right to delete Your Content from its servers. You should always preserve your original Content, or make back-up copies of Your Content, on your personal system. Upon the termination of your use of the Service for any reason, IAS will close your account and you will no longer be able to retrieve Your Content. You should not use the Service as the only repository or other source for Your Content. You retain copyright and any other rights you already hold in Your Content which you submit through, the Services. By submitting the content you give IAS a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive licence to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any Content which you submit, post or display on or through, the Services. This licence is for the sole purpose of enabling IAS to improve and promote the Service and its tools.
5. Your password and account security
You are solely responsible for maintaining the secrecy of your passwords and/or any account information in connection with the Service, and for restricting access to your computer. You are fully responsible for all activities that occur under your account or password, and you agree to notify IAS immediately of any unauthorized use of your passwords or accounts.
6. Provision of the Services by IAS
IAS is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the Services which IAS provides may change from time to time without prior notice to you. As part of this continuing innovation, you acknowledge and agree that IAS may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at IAS’s sole discretion, without prior notice to you. You may stop using the Services at any time. You do not need to specifically inform IAS when you stop using the Services. You acknowledge and agree that if IAS disables access to your account, you may be prevented from accessing the Services, your account details or any files or other content which is contained in your account.
7. Use of the Services by you
You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software). You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by IAS, unless you have been specifically allowed to do so in a separate agreement with IAS. You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services). Unless you have been specifically permitted to do so in a separate agreement with IAS, you agree that you will not reproduce, duplicate, copy, sell, trade or resell the Services for any purpose.
8. Termination
The Terms will continue to apply until terminated by either you or IAS. If you want to terminate your legal agreement with IAS, you may do so by notifying IAS at any time. Your notice should be sent, in writing, to IAS’s address which is set out at http://www.automationsquare.com/locations.html. IAS may at any time, terminate its legal agreement with you if: you have breached any provision of the Terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or IAS is required to do so by law (for example, where the provision of the Services to you is, or becomes, unlawful); or IAS is transitioning to no longer providing the Services to users in the country in which you are resident or from which you use the service; or the provision of the Services to you by IAS is, in IAS’s opinion, no longer commercially viable.
9. Exclusion of Warranties
The Services are provided "as is" and IAS gives you no warranty with respect to them. In particular, IAS do not represent or warrant to you that: your use of the Services will meet your requirements, your use of the Services will be uninterrupted, timely, secure or free from error, any information obtained by you as a result of your use of the Services will be accurate or reliable, and that defects in the operation or functionality of any Software provided to you as part of the Services will be corrected.
10. Limitation of Liability
IAS shall not be liable to you for: any indirect or consequential losses which may be incurred by you. This shall include any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, or any loss of data suffered by you; any loss or damage which may be incurred by you as a result of any changes which IAS may make to the Services, or for any permanent or temporary cessation in the provision of the Services (or any features within the Services); the deletion of, corruption of, or failure to store, any Content and other communications data maintained or transmitted by or through your use of the Services; your failure to provide IAS with accurate account information; your failure to keep your password or account details secure and confidential.
